ZMI USA Corporation and its affiliated companies (hereinafter referred to as "ZMI") in this particular reminds users to read and fully understand this "Software Licensing and Service Agreement" (hereinafter referred to as "this Agreement"). Users should carefully read and fully understand the provisions of this agreement, especially those relating to the exemption or limitation of ZMI liability, dispute resolution and legal application. The exemption or limitation clauses will be marked in bold, and you need to focus on reading them. Please read carefully and choose to accept or reject this agreement (minors should read with legal guardians). Your download, installation, use of this software and account acquisition and login will be deemed as acceptance of this Agreement and agree to be bound by the terms and conditions of this Agreement.

ZMI has the right to amend this agreement. The updated terms of the agreement will be published on the official website or software, and will take effect from the date of publication. Users can re-download and install the software or website to check the latest version of the agreement terms. After ZMI amends the terms of this agreement, if the user does not accept the amended terms, please stop using the "Reason Home" software and services provided by ZMI immediately. Users who continue to use the "Reason Home" software and services provided by ZMI will be deemed to have accepted the amended agreement.

 

  1. General Provisions

1.1. This Agreement is an agreement between you (hereinafter referred to as "user") and ZMI and its operating partners (hereinafter referred to as "cooperative unit") concerning the download, installation, use of "Reason Home" software (hereinafter referred to as "this software") and the use of ZMI related services.

1.2. The software and services provided by ZMI include but are not limited to the software and services installed on mobile smart terminal devices, providing official drivers and services for users using the smart terminal.

1.3. The ownership and operation rights of this software and service belong to ZMI.

 

  1. Scope of Software Authorization

2.1. ZMI grants users a personal, non-transferable, non-transferable and non-exclusive license for the software.

2.2. Users can install, use, display and run the software on a single mobile terminal device for non-commercial purposes. However, users shall not install, use or run the software for commercial purposes, nor copy, modify, modify, connect, run or create any derivative works of the data released into the memory of any terminal device during the operation of the software or the interactive data between client and server during the operation of the software, including, but not limited to, the use of plug-ins. External or unauthorized third-party tools/services are connected to the software and related systems. ZMI must be authorized and licensed in writing if commercial sales, reproduction and distribution are required, such as software pre-loading and bundling.

2.3. Users may not install the software on other terminal devices without the express permission of ZMI, including but not limited to set-top boxes, game consoles, TV sets, DVD machines, etc.

2.4. Users can copy a copy of the software for the purpose of using the software and services and use it as a backup only. The backup copy must contain all copyright information contained in the original software.

2.5. In addition to the express authorization in this Agreement, ZMI is not authorized to other rights of users. If users use other rights, they must obtain the written consent of ZMI.

 

  1. Acquisition, Installation and Upgrade of Software

3.1. Users should download and install this software product according to ZMI's designated website or method. Beware of downloading this software on non-designated websites, so as not to infect mobile devices with malicious programs that can destroy user data and obtain user privacy information. If the user has never obtained the software from a third party authorized by ZMI or the installation program with the same name as the software, ZMI cannot guarantee the normal use of the software, and will not be responsible for the losses caused to you.

3.2. Users must choose the version of the software that matches the installed terminal equipment. Otherwise, any software problems, equipment problems or damage caused by the mismatch between the software and the equipment type will be borne by the users themselves.

3.3. In order to improve the user experience and service content, ZMI has the right to provide you with the replacement, modification and upgrade version of this software from time to time. It also has the right to charge for the replacement, modification or upgrade, but the fee will be charged with your consent in advance. This software provides users with the function of "upgrade prompt" by default. ZMI provides users with the function of "upgrade prompt" according to the different software versions used by users. After the release of the new version of the software, ZMI does not guarantee the continued availability of the old version of the software.

 

  1. Specifications for Use

4.1. Users may use the software and services in accordance with this Agreement on the premise of abiding by the law and this Agreement. Users may not perform the following actions:

4.1.1. Delete all copyright information on this software and other copies, and modify, delete or avoid the technical measures set up by this software to protect intellectual property rights.

4.1.2. Reverse engineering the software, such as disassembly, decompilation or other attempts to obtain the source code of the software;

4.1.3. By modifying or forging the instructions and data in the operation of the software, we can increase, delete or change the function or operation effect of the software, or we can operate or disseminate the software and methods used for the above purposes to the public, regardless of whether these actions are for commercial purposes or not.

4.1.4. Use this software for any acts that endanger network security, including but not limited to: use unauthorized data or access to unauthorized servers/accounts; access to public networks or other operating systems without permission and delete, modify, increase storage information; unauthorized attempts to detect, scan, test the weaknesses of the software's systems or networks or other implementation of network destruction Secure behavior; attempting to interfere with or destroy the normal operation of the software system or website, intentionally spreading malicious programs or viruses and other acts of sabotaging normal network information services; forging TCP/IP packet names or partial names;

4.1.5. Users develop, authorize or approve third-party compatible software, log in or use the software and services through non-ZMI companies, or make, distribute and disseminate the above tools.

4.1.6. Without ZMI's written consent, the user's unauthorized implementation of the software and its information includes, but is not limited to, the following acts: use, lease, loan, copy, modification, link, reprint, compilation, publication, establishment of mirror sites, unauthorized use of this software to develop related derivatives, works, services, plug-ins, plug-ins, compatibility, interconnection, etc.

4.1.7. Use this software to publish, transmit, disseminate and store content that violates your local laws; use this software to publish, transmit, disseminate and store content that violates national laws, endangers national security, the reunification of the motherland, social stability, public order and good customs, or any content that is inappropriate, insulting, defamatory, obscene, violent and any content that violates national laws, regulations and policies;

4.1.8. Use this software to publish, transmit, disseminate and store content that infringes other people's legitimate rights such as intellectual property rights, trade secrets, etc.

4.1.9. The software is used to publish, transmit and disseminate advertising information and spam information in batches.

4.1.10. Other services provided by this software and ZMI shall be used in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with the licensed use of this agreement;

4.2 You understand and agree that:

4.2.1. ZMI will determine whether the user is suspected of violating the above-mentioned use specifications, and terminate or terminate your use license or take other restrictive measures according to this agreement.

4.2.2. ZMI will be deleted directly when users use licensed software to release information suspected of violating the law or infringing the legitimate rights of others or violating this agreement.

4.2.3. If users violate the above usage rules and cause damage to third parties, you should independently bear legal liability in your own name and ensure that ZMI is free from loss or additional costs.

4.2.4 If the user violates the relevant laws or agreements and causes the loss of ZMI, or suffers claims from third parties, or is punished by the administrative authorities, the user shall compensate for the loss and/or expenses incurred by the ZMI, including reasonable lawyer fees, investigation and evidence collection fees.

 

Privacy Policy and Personal Information Protection

5.1. Protecting your personal information is very important for ZMI. In order to provide software functionality and improve user experience, ZMI will collect the following types of data:

Information you provide or upload (including your contact information): We may collect any or all personal information you provide us, such as mobile phone number, e-mail address and other information related to the creation of millet account, the contact number you add or send, feedback and any other information you provide us.

Equipment-related information: Information related to your equipment. For example, MAC address, system version, device and motherboard identification number, device online status, SSID of a router, RSSI, BSSID, device name, device manufacturer information, and model name.

We specify information relevant to you: We may collect and use information such as millet accounts.

Location information (only applicable to specific services/functions): all kinds of information related to your location. For example, country code, city code, mobile network code, community identification, latitude and longitude information and language settings.

Login Information: Information related to your use of certain functions, applications, and websites. For example, cookies and other anonymous identifier technologies, IP addresses, temporary message history, and standard system logs.

Other information: Environmental Eigenvalue (ECV) (i.e. information obtained from millet account, telephone equipment account, Wi-Fi account connected and geographic location)

We may also collect other types of anonymous information that are not associated with individuals. The purpose of collecting such information is to improve the services we offer you. The type and amount of information collected depend on how you use, join or participate in our products and/or services.

5.3.  From time to time, we may share data related to products and services of the millet/millet/rabbit brand to provide and improve exciting products and services (including software and hardware) from the millet and millet ecosystem chain to bring better functionality and user experience.

 

  1. Service Risk and Disclaimer

6.1. Users must equip their own mobile terminal equipment to access the Internet and use the equipment needed for telecommunications value-added services, and bear the related charges of personal mobile terminal equipment to access the Internet or third parties (including but not limited to telecommunications or mobile communication providers) such as communication fees and information fees. If it involves telecom value-added services, we recommend that you confirm the relevant cost issues with your telecom value-added service provider.

6.2. ZMI and its partners shall not be liable for all losses suffered by third parties such as communication line failures, technical problems, network failures, mobile terminal equipment failures, system instability, and other force majeure causes.

6.3. Like most Internet software, this software is affected by differences including but not limited to user reasons, network service quality, social environment and other factors. It may be affected by various security problems, such as the harassment in real life caused by the use of user's information by others. Other software downloaded and installed by users or other websites accessed by users contain viruses such as Trojan Horses. Threatening the security of user's terminal equipment information and data, and then affecting the normal use of the software and so on. Users should strengthen the awareness of information security and user data protection, and pay attention to strengthening password protection, so as to avoid loss and harassment.

6.4. When users use this software or require ZMI to provide specific services, the software may call a third-party system or third-party software to support users' use or access. The results of use or access are provided by the third party. ZMI does not guarantee the security, accuracy, validity and other uncertain risks of the results achieved through the third-party system or third-party software support. ZMI shall not be liable for any disputes or damages arising therefrom.

6.5. In particular, ZMI reminds users that in order to protect the autonomy of the company's business development and adjustment, ZMI has the right to modify or interrupt services at any time without informing users. ZMI is not responsible to users or any third party for exercising the right to modify or interrupt services.

6.6. In addition to laws and regulations, we will do our best to ensure that the software and its related technology and information security, effective, accurate and reliable, but limited by existing technology, users understand that ZMI cannot guarantee this.

6.7. Personal injury or incidental or indirect economic damage compensation, including but not limited to loss of profits, loss of information, loss of business interruption or other commercial damage or loss caused by or related to any of the following circumstances, shall be borne by the user himself: (1) the use or failure to use licensed software; (2) the unauthorized use of software by third parties or Change the user's data; (3) the cost and loss caused by the user's behavior using the software; (4) the user's misunderstanding of the software; (5) other software-related losses not caused by ZMI.

6.8. Any personal or economic injury or loss caused or possibly caused by misleading or deception between users and other users of the software shall be borne by the fault party in accordance with the law.

 

Statement of Intellectual Property Rights

7.1. ZMI is the intellectual property right holder of this software. All intellectual property rights, such as copyright, trademark right, patent right, trade secret, and all information related to the software (including but not limited to words, pictures, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.) are protected by local laws and regulations and relevant international treaties, except the millet/rice house/rabbit trademark. ZMI enjoys the above intellectual property rights.

7.2 Without the written consent of ZMI, users may not implement, utilize or transfer the above intellectual property rights by themselves or by any third party for any commercial or non-commercial purposes. ZMI reserves the right to pursue legal liability for the above-mentioned acts.

 

VIII. Change of Agreement

8.1. ZMI Company has the right to amend the terms and conditions of this agreement when necessary. Once the terms and conditions of this Agreement are changed, the revised terms and conditions of the agreement will be published on the relevant pages. If you do not agree with the content of the change, the user should cancel the service on his own initiative. If the user continues to use the service, it will be regarded as accepting the change of the terms of the agreement.

8.2. ZMI Company and Cooperative Company have the right to modify or change the charging services, charging standards, charging methods, service fees and service terms as required. When ZMI provides services, it may start charging some users for some services now or in the future. If users refuse to pay such fees, they cannot continue to use related services after the start of charging. ZIMI and the Cooperative Company will do their utmost to inform users of the relevant modifications or changes by e-mail or other means.

 

IX. others

9.1. When users use a specific service of this software, the service may have separate protocols, relevant business rules, etc. (hereinafter referred to as "separate protocols"), you should read and agree to the relevant separate protocols before using this service.

9.2. This Agreement shall enter into force on July 1, 2019.

9.3. The title of all clauses of this Agreement is only for the convenience of reading and has no practical meaning in itself. It cannot be used as a basis for the interpretation of the meaning of this Agreement.

9.4. Whatever the reason, the provisions of this Agreement are partly invalid or unenforceable, the remaining provisions are still valid and binding on both parties.
